GuerdonNews® Volume 14 Number 1

February 2018

Dear reader,

---

Welcome to the February 2018 issue of GuerdonNews®

We trust you are feeling refreshed after the holiday season. In this issue we:

• Dust off our crystal ball to provide a forecast of 2018 director and executive pay trends - we are probably at the start of an interesting ride.

• Analyse remuneration increases for S&P/ASX 300 CEOs and discover that is some ways they are paid just like regular people.

• Investigate the extent of the relationship between remuneration report votes and company performance.

• Provide a checklist for risk aware remuneration committees, and those that are not.

• Report ASIC's views regarding the most recent AGM season and proxy adviser influence on voting - do not count on any further regulation just yet.

We are glad to be back (truly) and look forward to engaging with you on challenging new projects.

Registrations to next month's Sydney and Perth Remuneration and Governance Forums are fast flowing in. Do not forget to respond to your invitation if you want to attend, given that space is limited. Last year's events were very popular and some late RSVPs missed out.

ASX 300 CEO pay changes

Fixed pay stagnated, just like the pay for regular people.

Almost half received no fixed pay increases. Half saw annual incentives decline by the same amount as the other half increased. LTI expenses soared as companies' CFOs, at least, saw their glasses half full, rather than half empty. And it was easy to see in which sectors executives were more loved.

Guerdon Associates examines the statutory disclosures for same incumbent CEOs of the S&P/ASX 300 over the 2017 year.

The relationship between executive remuneration voting and company performance

At last, someone (i.e. us) has done the math.

It is not a question now of the extent that remuneration report votes vary with company performance.

It may be more a question of the extent to which votes vary because of other factors.

Guerdon Associates investigates the relationship between company performance and votes against the remuneration report.
