ASX Advisory Group on Corporate Governance – May Meeting Confirms NO change to the 8 Principles and NO recommendation on director elections
The ASX Advisory Group on Corporate Governance (AGCG) met for the third time on 8 May 2026 and subsequently released their third communique on 11 May 2026. There is no positive news for those wanting a reduction in public company disclosure and compliance workload.
The results of this third meeting were:
- The AGCG reviewed a complete draft of the revised Principles. The draft retains the existing 8 Principles and draws on the work of the former Council. It explains why each of the Principles is important and the ‘if not, why not’ framework.
- Discussing the importance of NED remuneration recommendations. So, no, no change there either it seems.
- Considering the frequency of director elections. There is no intention to introduce a recommendation relating to elections. So, although there is no reduction, no increase to this workload may be considered a victory to some
- Agreeing to a public consultation period commencing in mid-July and lasting 6-8 weeks.
The AGCG will meet again on 8 July 2026. Guerdon Associates will continue to monitor and summarise these releases as they occur.
