Board Chair
The designated leader responsible for heading the board and leading (chairing) board meetings. In practice, the role is a permanent board function occupied by an individual for the remainder of their tenure on the board. In effect, the chair determines and prioritises board agendas, director assessment, committee roles, recruitment and “retirements”. In Australia, the ASX Corporate Governance Principles recommend the chair be an Independent Director and separate from the CEO role.
