Change in Control

A significant transactional event (such as a takeover, merger, or acquisition) that shifts majority company ownership or voting control to a new entity, typically prompting accelerated vesting of incentives in Australia, UK and New Zealand. This is not a US practice which requires a double trigger (a change in control and executive termination). The differences arise from laws, regulations and practices based on different perspective on conflicts of interest.
