A discretionary remuneration or a reward granted on an ad-hoc basis with no pre-established performance metrics. Often incorrectly used interchangeably with Short Term Incentive (STI). The distinction is strictly enforced in US proxy disclosures to comply with that country’s SEC Regulation S-K, requiring separation of the amounts for bonus and “non-equity incentive compensation” in a proxy’s statutory compensation table.
