Loan Funded Shares

An incentive design where a company provides a loan to executive to acquire shares on a limited-recourse basis, which is later cleared using dividends and/or share sale proceeds. As an excellent method to ensure alignment with shareholder interests, it is widely applied in Australian private companies, but generally not permitted in some countries’ listed companies (e.g. Germany, UK, Switzerland, US).
