Due to factors outside our control, the 2014 Remuneration and Governance Forums for board directors and institutional investors have had to be re-scheduled to the morning of 11 March in Sydney and the morning of 17 March in Perth. We apologise for any inconvenience this may cause, although we understand that this revised timing may be more convenient for many participants.

The issues to be addressed should interest most directors and investors:

  • How to reconcile the differences between boards, investors and proxy advisers who rely on analysts’ short-term forecasts when evaluating incentive plan performance targets ‘set in stone’ by boards to match a required rate of return that remains consistent over time
  • How the likely use of required new board skills disclosures by activist investors required to invest in the ASX 200 means boards will need to be circumspect in what they disclose about board renewal
  • Director independence, new ASX Corporate Governance Council principles and recommendations, and industry superannuation fund regulation.

Sydney panelists will include David Gonski, Gordon Hagart, Kevin McCann, Belinda Robson, Pru Bennett, Aaron Bertinetti, Andrew Sisson, Jane Stuchberry and Michael Robinson. Additional panelists and keynote speakers for Sydney and Perth will be advised in due course.

Guerdon Associates sponsors these Forums with proxy adviser CGI Glass Lewis. Initiated eight years ago, the Forums provided Australia’s first annual forum for directors and their companies’ institutional investors to openly discuss remuneration and governance issues. The Chatham House Rule applies to encourage a frank exchange of views and constructive debate about what constitutes good remuneration governance.

Invitations to investors, directors, regulators and management will be sent shortly.
